Experience:
Gabriel Olearnik's practice consists of a wide range of corporate work. He advises clients across a broad spectrum of commercial, organisational and financial issues involving acquisitions, joint ventures, disposals and contractual arrangements. He also advises individuals in relation to their duties and responsibilities as a result of those transactions and generally.
In addition, Gabriel has substantial litigation experience. He has assisted in major fraud and corruption cases concerning extradition, the sale of financial instruments valued at several hundred million dollars, the Countryside Alliance challenge to the Hunting Act and other significant cases with political dimensions. He has also advised clients involved in corporate employment cases relating to unfair dismissal and allegations of bribery and, in one case, allegations of faulty software provisions by an international IT developer.
Prior to joining Mayer Brown International llp in 2007, Gabriel was a researcher with the London School of Hygiene and Tropical Medicine. He speaks Polish fluently and numbers several Polish entities among his clients.
Notable Engagements:
Represented the majority shareholders in a joint venture relating to a precision tools manufacturing business.
Represented the buyer on an Israeli reserve takeover in the telecoms industry, followed by admission of the buyer to AIM.
Represented the partners of a financial services provider when they sought to incorporate their Limited Liability Partnership (LLP).
Represented the buyer in a US and UK gene technology acquisition, followed by admission of the buyer to AIM.
Represented a high net-worth individual in the context of a Polish debt claim.
Represented the seller in the disposal of a food manufacturing business.
Represented an investor in a fund transaction, conducting a review of the deal’s LP deed and developing its private placement memorandum and management services agreement.
Represented a pensions fund in the incorporation of an unlimited company, including drafting of bespoke memorandum and articles.
Represented a management services company in the course of a professional negligence claim against previous counsel.
Conducted general Polish private acquisitions work in the telecoms, property, energy and restaurant franchise sectors.
