Experience:
Eric Finseth practices corporate and securities law. His broad securities and transactional experience extends to (i) corporate governance, the Sarbanes-Oxley Act and SEC reporting obligations and other securities laws applicable to publicly traded companies; (ii) mergers and acquisitions; (iii) registered and unregistered offerings of equity, debt and complex securities; (iv) the formation and subsequent representation of real estate investment funds and venture capital funds; and (v) venture capital financings and the formation of technology startup companies.
Prior to joining Mayer Brown, Eric served as an Attorney Fellow in the Securities and Exchange Commission’s Division of Corporation Finance, Office of Chief Counsel, and was detailed to work directly with Division Director John White. During the 2006 proxy season, he oversaw and administered the agency’s Rule 14a-8 shareholder proposal no-action review program, during the course of which he led a team of 16 other attorneys over several months and authorized the issuance of hundreds of no-action responses on behalf of the Division. His work with the agency included attention to a variety of interpretive, enforcement, appellate litigation, legislative and rulemaking matters, including the Commission’s recently issued executive compensation and option grant disclosure rules. Prior to working for the SEC, Eric was a partner at a prominent Silicon Valley corporate law firm.
Eric speaks fluent German and reads French, having received a Magister Artium (MA) in Modern History from the Freie Universität Berlin on a scholarship from the Deutscher Akademischer Austauschdienst (DAAD) and a Certificat d’Etudes Politiques from the Institut d’Etudes Politiques de Paris (Sciences Po). In addition to having studied in Europe, Eric worked as an intern in the Directorate-General for External Relations of the European Commission in Brussels.
