Mr. Galván practices general civil litigation including securities litigation and arbitration, unfair trade practices, intellectual property, insurance recovery and employment discrimination. Mr. Galván also has been involved in several bankruptcy matters, including litigation and contested matters in and arising from the bankruptcy cases of Comdisco, Inc.; Thermadyne Holdings Corp.; Equitable Bag Co., Inc.; Power Company of America, L.P.; PPI Enterprises (U.S.), Inc.; and Marvel Entertainment Group, Inc.
Representative Matters
Recently commenced action on behalf of bondholder of IMAX Corp., the motion picture technology company, seeking a declaration that consent solicitation to obtain waivers of IMAX's defaults under trust indenture was flawed and legally ineffective, such that IMAX remains in default on certain indenture obligations. Motion to dismiss pending.
Filed action on behalf of institutional investor and fund manager against FrontPoint Partners LLC, in which the plaintiffs hold an equity interest, on grounds that FrontPoint failed to disclose details of its restructuring and that FrontPoint's managers breached fiduciary duties in connection with recent acquisition of FrontPoint by Morgan Stanley. Defeated motion to dismiss; discovery ongoing.
Represented institutional investors in federal court action against hedge fund manager, fund accountants, and administrator arising out of collapse of Manhattan Investment Fund hedge funds, as well as institutional investors in federal court action against a hedge fund manager and the funds’ parent, auditor, and administrator arising out of collapse of Beacon Hill hedge funds.
Brought action in New York state court seeking injunctive relief against Rothschild Inc. on behalf of Canadian-based holding company that had retained Rothschild to assist it in a restructuring involving Portuguese cable provider, to prevent Rothschild subsequently from working on competing restructuring. Court entered order limiting Rothschild's subsequent engagement and case ultimately settled.
Obtained dismissal, without leave to replead, of complaint against Lloyds TSB Bank plc, which was filed for the benefit of investors of millions of dollars in fraudulent investment scheme who claimed to have been instructed to wire money to Lloyds' London branch; previously defeated motion to remand action to state court.
Pursued action in federal court against Del Monte Company and Morgan Stanley & Co., Inc. alleging that the defendants defrauded plaintiff, a U.S. holding company for a European conglomerate, in the acquisition of plaintiff's Del Monte stock holdings; defeated motions to dismiss and for summary judgment before settling action.
Represented managing general underwriter for insurance company in New York action against insurance company for breach of agency agreement and simultaneous Nevada action against competing managing general agency for tortious interference with contract; defeated motions for summary judgment.
Defended manufacturer of hand-held tools in patent infringement action brought in United State federal court by Taiwanese inventor; settled action following Court-ordered ediation.
Sued 16 liability insurers on behalf of Jersey Central Power & Light Company, seeking reimbursement for costs incurred in the remediation of environmental damage at 19 industrial sites. Recovered over $40 million, which exceeded the remediation expenses incurred.
Represented unsecured creditors committee in bankruptcy cases of Thermadyne Holdings Corp. and related debtors, including a successful challenge in Court to the debtors' proposed key employee retention plan.
