Ms. Kennedy is an associate in the Corporate Practice Group. She counsels emerging growth and established companies, assisting in the area of general corporate law and governance, mergers and acquisitions, public and private offerings, securities law compliance matters and other commercial and financial transactions. Ms. Kennedy has experience assisting institutional lenders in private placement and structured finance transactions, as well as advising banks on regulatory and transactional issues.
Ms. Kennedy also has experience in health care law, assisting hospitals and other types of for-profit and tax-exempt health care businesses in compliance and regulatory matters as well as general contracting and employment matters.
Prior to joining Brown Rudnick, Ms. Kennedy was an associate at Day Pitney LLP (f/k/a Day, Berry & Howard LLP). In 2001, Ms. Kennedy was a judicial intern for the Honorable Kenneth P. Neiman, U.S.M.J., United States District Court, Massachusetts.
Representative Matters
o Advise public company on general corporate law matters including corporate maintenance, regulatory compliance, periodic and episodic Exchange Act reporting compliance, financing, issuance of equity and convertible debt and equity incentives.
o Advise private company in going public via shell company reverse merger transaction and follow-on PIPE transaction.
o Advise foreign private issuer in connection with securities law compliance regarding grant of compensatory securities products to domestic employees.
o Advise client in $14 million capital stock acquisition of television station and broadcasting assets.
o Advise client in acquisition of physicians' practice group and related practice assets.
o Assist funds financing real estate mezzanine transactions and formation of related special purpose entities.
