Edward E. Gainor's practice primarily involves securitization of financial assets, matters related to investment in distressed mortgage debt and related transactions. His experience includes representation of issuers, underwriters and investors in domestic and cross-border public offerings and private placements of securities involving a wide variety of asset types and structures, including representation of the underwriters in one of the first offerings of asset-backed securities eligible for financing under the Federal Reserve’s Term Asset-Backed Securities Loan Facility (TALF). His practice also includes servicing transfers, whole loan sales, financings, derivatives and related matters.
Mr. Gainor has also represented various offshore and domestic funds in connection with investments in distressed mortgage loans and mortgage-backed securities, asset acquisitions and other matters.
Mr. Gainor co-authored the treatise Offerings of Asset-Backed Securities, a detailed analysis of legal issues encountered in executing a public or private offering of ABS. In addition, Mr. Gainor has authored articles that have appeared in a variety of publications including International Financial Law Review, The Review of Banking & Financial Services, The Journal of Structured Finance, International Securitization & Structured Finance Report, The Journal of Investment Compliance, Total Securitization, Securitization News, Asset Securitization Report, and Compliance Reporter. Mr. Gainor is a frequent speaker at industry conferences on topics such as distressed debt investing, the TALF, the Troubled Asset Relief Program, and the federal securities laws.
Recognized as a leading practitioner in the field of securitization by Chambers USA's America's Leading Lawyers for Business, Mr. Gainor is active in the American Securitization Forum (ASF), including service as a member of the ASF’s Board of Directors and Executive Committee and as a committee chairman. He is a past chair of the Derivatives and Securitization Committee of the District of Columbia Bar Association’s Corporation, Finance and Securities Law Section.
A graduate of George Washington University Law School, Mr. Gainor was a senior editor of the George Washington Law Review and was named to the Order of the Coif. |
