Drew Morris Biography :

Drew A. Morris is an associate in the firm's Corporate and Securities Practice Group and a member of the Tax team. Drew's practice covers all aspects of corporate and individual federal, state, local and international income taxation. He also has a strong background in finance and worked for a Fortune 100 company as a financial analyst and a financial underwriter.

Business and Corporate Federal Tax Experience. Drew advises clients regarding various S corporation, C corporation, LLC, and partnership tax and business issues and transactions, including entity formation, taxable and non-taxable mergers, closely held corporation issues, multi-tiered reorganizations, multi-level restructurings, sales of interests and sales of stock, consolidations, lending issues, real estate tax issues, asset acquisitions, 338 (h)(10) elections, corporate governance, business planning and corporate or partnership terminations.

Individual Federal Income Tax Experience. Drew counsels clients regarding individual federal income tax planning, all facets of business and investment planning, marital and divorce tax issues, installment obligations, inter/intra family loans, settlement issues, foreign income exclusions, foreign earned income tax credits and penalty issues.

Federal Tax Controversy Experience. Drew has extensive experience handling federal tax controversies, including assisting and advising clients during Internal Revenue Service audits of corporations, estates and individuals; criminal and civil tax fraud investigations; jeopardy assessments; private letter rulings; IRS petitions for review, IRS appeals letters, innocent spouse claims, abatement requests, offers in compromise, United States Tax Court petitions and structured workouts and payment plans.

Nonprofit Organization Tax Experience. Drew has significant experience forming tax-exempt organizations and completing Section 501(c)(3) exemption applications. He also advises nonprofit organizations regarding corporate governance and activity issues.

International Tax Experience. Drew has experience analyzing and applying tax treaties to individual and corporate tax issues and transactions, structuring cross-border leasing transactions and reorganizations of domestic corporations with foreign shareholders. He counsels clients regarding tax issues of CFCs, ex-and re-patriation issues, international Internet tax issues and tax haven issues.

State and Local Tax Experience. Drew assists clients with real estate transfer tax issues, sales and use tax issues, capital stock and foreign franchise tax issues, successor liability for corporate and partnership mergers and acquisitions, corporate tax amnesty programs and apportionment issues. He also advises individual taxpayers regarding state and local individual tax amnesty programs, state tax planning for compensation purposes and state benefit issues. Drew also has significant experience drafting state and local taxing authority replies to assessments, abatement requests, petitions and appeals and has assisted in the drafting of motions and briefs for trial court and appellate court.

Drew assists corporations in their beginning stages including drafting articles of incorporation, corporate by-laws, general partnership agreements, limited partnership agreements, LLC single member and multi-member operating agreements, stock purchase agreements, and shareholder agreements. He also has experience drafting articles of merger, unanimous consent forms, asset purchase/acquisition agreements, and employment agreements/contracts.
