In particular, Diana has experience in diverse securities and general corporate transactions, including representation of issuers and underwriters in connection with public and private equity and debt offerings. Diana counsels various participants (buyers, sellers, and financing sources) in mergers and acquisitions. She also advises venture capital and other investment groups or funds in financing transactions, working with them to structure corporate and financing arrangements. Diana has prepared and reviewed filings under the Securities Exchange Act of 1934, and helps public and private companies fulfill disclosure obligations and fiduciary duties. A significant portion of her practice is devoted to clients in the energy and petrochemical industries.
