Dean Edstrom has concentrated his practice in the areas of corporate, securities, mergers and acquisitions and international law throughout his career. For several years in New York and Paris, he was heavily involved in public securities offerings, financing arrangements, mergers and acquisitions and international transactions for major corporations, underwriters and banks, both domestic and foreign. In Minnesota, he has represented clients ranging from start-up businesses to major corporations and investment banking firms and has structured and completed a wide variety of transactions, including public and private offerings of equity and debt securities, venture capital financings, limited partnership offerings, exchange offers, joint ventures, mergers and acquisitions, divestitures, distressed business restructurings and international transactions.Public Company and Securities: Dean has served as lead counsel to both issuers and national investment banking firms on equity and debt securities offerings ranging from initial public offerings to offerings by well-established New York Stock Exchange listed companies. His initial public offerings have included companies in the supercomputing, technology, healthcare, aviation, energy and real estate industries and one of those companies is today ranked in the Fortune 100. His experience includes rights offerings, exchange offers, leveraged buyouts and spin-offs. He has also provided strategic defensive planning and participated in the defense of companies subject to hostile takeover and proxy solicitation efforts. His securities compliance experience covers the full range of 1933 and 1934 Act matters (including Sarbanes-Oxley) and the establishment and registration of broker-dealer and investment advisory organizations.Mergers and Acquisitions: Dean's experience in the mergers and acquisitions field has included a wide variety of transactions representing clients ranging from small privately held companies to major public corporations. These transactions have included direct and reverse triangular mergers, acquisitions and sales of assets and stock purchases. They have been structured as taxable and tax-free transactions and have been both private and subject to full securities registration and compliance. Industries represented in these transactions include light and heavy equipment, software, banking, energy and pharmaceuticals.Corporate and Business: As principal outside counsel for clients, Dean provides advice to senior management and boards of directors and has served as special counsel for board committees in connection with securities compliance issues and transactions involving conflicts of interest among corporate stakeholders. His general corporate practice also includes advice on a wide variety of transactions and agreements, including joint ventures and product and intellectual property development and licensing agreements.Emerging Companies and Private Capital: Dean has particularly enjoyed bringing his experience in large and sophisticated public transactions to the table on behalf of entrepreneurial and emerging enterprises. He has organized a variety of new entrepreneurial organizations and has assisted clients through multiple private and venture capital offerings, keeping them on track to an initial public offering or acquisition exit.International: Dean's experience in the corporate, securities and mergers and acquisitions fields has often been employed internationally, representing both domestic and foreign clients. With a degree in civil law, two years of practice in Europe and additional experience over the years, Dean has the ability to bridge differences of law, business practice and culture in structuring and completing transactions, which have included securities offerings, debt financings, cross-border acquisitions, joint ventures and licensing agreements. |
