David Locascio Biography :

David W. Locascio is a partner in the law firm of McDermott Will & Emery LLP based in the Firm’s Houston office.

David represents owners and developers in the acquisition, financing, development, management and disposition of energy, infrastructure and real estate assets and companies. Project and company locations include Canada, Mexico, Cameroon, Brazil, Bolivia, Chile, and the United States.

David has extensive experience in the raising of equity and debt financing for energy, infrastructure and real estate projects, including the negotiation and preparation of joint venture, limited partnership and limited liability agreements, stock and asset purchase agreements, and warrants, options and put/call rights. He negotiates and prepares master energy trading agreements, interest rate and other hedging agreements.

David also represents financial institutions, as lead agent and arranger, in the closing and restructuring of syndicated corporate credit facilities, project loans and structured finance transactions involving energy, infrastructure and real estate assets and companies. He counsels and represents diverse financial institutions in the negotiation of financial derivative products and other lenders in construction loans for various commercial projects.

David is a Certified Public Accountant and a member of the Houston Bar Association. David’s affiliations include State Bar of Texas, Oil, Gas and Mineral Law, Real Estate, Trusts and Estates, and Construction Law Sections and Houston Bar Association, Real Estate and Oil, Gas and Mineral Law Sections. He is admitted to practice in Texas.

Representing a major Spanish private equity fund in a potential joint venture with a major developer of wind and solar projects in the United States, Europe and Latin America.

Representing a major Argentine energy company in the restructuring of its United States assets.

Represented a Fortune 50 U.S. energy company in the divestiture of its oil and gas properties in the Barnett Shale area of north Texas.

Represented a major Spanish energy company in the acquisition of Gulf of Mexico oil and gas interests.

Represented a major Spanish energy company in the acquisition of wind power companies with wind projects in Montana, United States and Alberta, Canada.

Represented a Fortune 50 U.S. energy company in multiple acquisitions of oil and gas properties in the Barnett Shale area of north Texas.

Represented a Fortune 50 U.S. energy company in the disposition of multiple downstream markets in the United States.
