David A. Schwartz joined Duval & Stachenfeld as a Partner in 2007 and is a member of the firm’s Corporate Practice Group.
Mr. Schwartz has a diverse corporate transactional practice representing emerging and growth companies and private equity and venture capital investors. Mr. Schwartz is a business attorney who understands the unique challenges that emerging and growth companies and their shareholders face in developing appropriate business structures, securing and structuring complex financings, protecting intellectual property rights, establishing strategic alliances and identifying and compensating key management and advisors. He has significant experience in the mission critical legal fields necessary to assist emerging and growth companies: enterprise formation, venture and debt financings, employment matters, including equity-based compensation and covenants not to compete, mergers and acquisitions, private placements, licensing and distribution, collaborations and strategic alliances. Mr. Schwartz has applied this expertise across a variety of industries, including media (both print and on-line), advertising, medical device and services, health care, retail and consumer products.
Prior to joining the firm, Mr. Schwartz was a founding partner of Morea Schwartz LLP, a corporate transactional boutique firm from 1991 through 2006. From 1989 through 1991, Mr. Schwartz served as an associate Tax Counsel for Corroon & Black Corporation, one of the largest publicly traded insurance brokers at the time. During his tenure with Corroon & Black, Mr. Schwartz advised on several acquisitions.
Mr. Schwartz is admitted to practice law in New York and Connecticut.
