David A. Rubenstein is a partner with the firm and a co-chair of the group’s Merger’s and Acquisitions/Private Equity practice. He has been a member of the firm’s Corporate Securities Practice Group for more than 20 years.
Dave has represented privately held businesses and publicly traded companies in negotiating and consummating scores of acquisitions and dispositions, including mergers, asset acquisitions and stock acquisitions, as well as numerous joint ventures. He is involved in transactions across a broad range of regulated and unregulated industries which typically include a variety of investigatory, tax, accounting and corporate issues including the representation of:
· a privately held software design firm in its $80 million cash merger sale;
· a public company in disposition program which included sales of several farm equipment manufacturers, a plastic processor and an oil services company;
· a private company in connection with $170 million sale by 85% owner of all his shares to company-sponsored ESOP;
· public and private companies in acquisition programs involving multiple acquisitions per year; and
· family-owned businesses in sales to public companies, private companies and equity funds.
Dave advises closely-held businesses on matters relating to formation, operation, dissolution, recapitalization and financings, resolution of shareholder disputes, governance and succession planning. A particular area of focus is the increasingly used vehicle of limited liability companies. He has drafted partnership agreements, shareholder buy-sell agreements and limited liability company operating agreements.
Dave is also outside counsel to the U.S. operating companies of two Japanese-owned companies and regularly provides general counsel services to private middle-market business concerns.
In General. Dave is a graduate of the University of Michigan Law School where he received his J.D. degree, cum laude. He received his bachelor’s degree Phi Beta Kappa from the University of Illinois, Champaign-Urbana. He is admitted to practice law in the state of Illinois and sits on the boards of several for-profit and nonprofit organizations. |
