Dan Krane is a partner in the firm's Corporate and Securities Group, and concentrates his practice on corporate, transactional and regulatory matters for insurance, financial services and health care clients.
Insurance. Dan's insurance practice focuses on corporate, transactional and regulatory issues affecting insurance companies, captive insurers, insurance agencies, TPAs, Blue Cross/Blue Shield entities, HMOs, PPOs, risk-assuming health provider networks, and various ventures that assume insurance risk. He has extensive experience in business formations, mergers and acquisitions, redomestications, holding company transactions, reinsurance transactions, product design and distribution, regulatory examinations and investigations and rehabilitation and insolvency proceedings. Dan has represented insurance regulators in connection with conversions of Blue Cross/Blue Shield entities, and mutual insurers in connection with demutualizations.
Financial Services. His financial services practice centers on the interplay between insurance, banking and securities activities. Dan's clients include insurance conglomerates, financial institutions, mutual funds, issuers of variable life insurance and annuity products, and various financial intermediaries. He has handled formation and operation of bank-owned insurance companies and agencies, creation of bank-agency and bank-insurer joint ventures, development of separate account products, review of direct marketing programs, including Internet sales of financial and insurance products, and establishment of compliance programs.
Health Care. Dan has advised clients in health care transactions including joint ventures, integrated delivery systems, risk-assuming provider networks, hospital-physician ventures, and compliance. He has particular experience in the application of insurance laws to health care risk arrangements, and federal and state anti-kickback and anti-referral issues.
In General. While in law school, Dan was elected to the Order of the Barristers.
He is a member of the American Bar Association, Pennsylvania Bar Association, New Jersey Bar Association, Philadelphia Bar Association, Financial Institutions Insurance Association, American Health Lawyers Association, and other professional and trade associations. Dan is active in the National Association of Insurance Commissioners, and has presented before NAIC working groups on various topics. Dan is the past chair of the Financial Services Integration Committee of the ABA Tort and Insurance Practice Section, the Insurance Committee of the Business Section of the Philadelphia Bar Association, the Financially Distressed Health Organizations Committee, the Managed Care Committee of the New Jersey Bar Association Health and Hospital Law Section, and currently serves as an adjunct faculty member at the Rutgers School of Law for an advanced insurance course. Dan has been active on committees and task forces involved with drafting insurance, financial services and health care laws, and frequently writes and lectures on these topics. |
