Experience:

Brian May focuses his practice on mergers and acquisitions, securities matters, and general corporate representation. He represents buyers and sellers in connection with stock and asset acquisitions and divestitures, mergers, joint ventures, financings, reorganizations, stockholder arrangements, and similar transactions involving US, foreign and multinational corporations, private equity firms and other public and private entities.

Brian represents issuers, selling stockholders, and underwriters in public offerings of equity and debt securities; offerors in tender and exchange offers; and issuers and placement agents in private placements of equity and debt securities. He also represents companies in connection with SEC compliance and reporting and corporate governance.

Prior to joining Mayer Brown in 2001, Brian served as a Law Clerk to Chief Judge Carolyn Dineen King on the US Court of Appeals for the Fifth Circuit.

Notable Engagements:

Represented a European private equity fund in the acquisition of an operator of senior care campuses.

Represented Whirlpool Corp. in the sale of its Hoover vacuum business to Techtronic Industries and the sale of its Dixie-Narco vending business to Crane Co.

Represented a major investment bank in multiple strategic equity investments.

Represented the Ricketts family, an approximately 30% shareholder in Ameritrade, in the $2.9 billion acquisition by Ameritrade of TD Waterhouse from The Toronto-Dominion Bank.

Represented Residential Capital, LLC in its $4 billion initial offering of debt securities and subsequent registration of those securities under the Securities Act.

Represented Abbott Laboratories in connection with its spin-off of Hospira, Inc. and Hospira’s subsequent issuance of $700 million in debt securities.
