Andrew Siegel provides strategic communications counsel on mergers, acquisitions, divestitures, proxy contests, management changes, restatements and other special situations. He also advises public companies on long-term corporate positioning programs.
Among his current assignments, Mr. Siegel serves as public and investor relations advisor and spokesperson for Movie Gallery and Metal Management. He also works with Motorola and Weyerhaeuser to develop and manage ongoing investor and media relations programs.
Mr. Siegel’s recent transaction experience includes advising Biosite in its sale to Beckman Coulter; Covansys in its sale to Computer Sciences; MatlinPatterson in its equity investment in First Albany; Compass Bancshares in its sale to BBVA; Macquarie in its acquisitions of Duquesne Light Holdings and Spirit Finance; Metal Management in its acquisitions of Texas Iron & Metal, Mars Industries, Morris Recycling and Universal Recycling; Constellation Brands in its joint venture agreement with Grupo Modelo and in its unsolicited acquisition of Vincor International; Motorola in its acquisition of Symbol Technologies, the sale of its automotive electronics business to Continental AG and numerous other transactions; Nextel Partners in its litigation against and sale to Sprint-Nextel; Abgenix in its sale to Amgen; adidas and Reebok in their combination; Movie Gallery in its acquisitions of MovieBeam, Hollywood Entertainment and VHQ Entertainment; Knight Capital in its acquisitions of ValuBond and Hotspot FX and the sale of its derivative markets business to Citigroup; PeopleSoft in its defense against Oracle’s unsolicited takeover and proxy contest; Mandalay Resort Group in its merger with MGM Mirage; AT&T Wireless in its auction and sale to Cingular; and Weyerhaeuser in the merger of its fine paper business with Domtar and its acquisition of Willamette.
He has advised numerous companies on spin-offs and public offerings, including Motorola in its spin-off and public offering of Freescale Semiconductor, Allete’s spin-off and public offering of ADESA, Holly in the IPO of its Master Limited Partnership, Holly Energy Partners, Weyerhaeuser in its follow-on equity offering, and Lazard in the launch of its first exchange traded fund.
Mr. Siegel has also recently worked on a number of transactions in which public companies have gone private, including HCA, Aramark, Harrah’s Entertainment and ADESA.
Prior to joining Joele Frank, Wilkinson Brimmer Katcher in October 2000, he completed Merrill Lynch’s Management Development Training Program and worked in the Company’s Financial Planning and International Operations departments. Mr. Siegel received a B.A. from the University of Pennsylvania. |
