The group's principal activities are to process and market crops grown by its members. It includes fruits, vegetables, beans, beets, cucumbers and popcorn. The distribution activities of the group are to deliver raw fruits and vegetables to its customers. On 19-Aug-2002, the company entered a termination agreement with bird eye foods pursuant to which, among other things, the marketing and facilitation agreement and the patronage income of 90% form birds eye foods was terminated. The birds eye foods agreed to pay a termination fee of 10 million per year for five years. At 28-Jun-2003 there are approximately 548 pro-fac members, consisting of individual growers or associations of growers located in New York, Delaware, Illinois, Michigan, Washington and Georgia.
