David Stagliano joined Milbank, Tweed, Hadley & McCloy LLP as an associate in 1980 and has been a partner since 1989. He is a member of the Global Finance Group.
Since 1981, Mr. Stagliano has practiced primarily in the area of private placements, including leveraged buyouts, leveraged leases, project financings, sale leasebacks, cross-border financings, secured financings, subordinated debt financings, structured financings, preferred stock offerings and straight debt and equity issuances. He has represented virtually every major institutional investor that is active in the private placement market and works with investment bankers and other intermediaries in structuring and implementing private placement transactions.
Since 1984, he has been a Fellow in the American College of Investment Counsel. (The College provides a forum for the discussion of issues relating to private placement financings.) He a member of the Board of Trustees of the College. In 2006-2007 he served as the organization's President and has and previously served as Treasurer and as Vice President.
Mr. Stagliano was a member of the Private Placement Enhancement Project from its inception in 1993. The Project was formed by a group of leading institutional investors, private placement counsel and investment bankers to develop model documentation in order to enhance the competitiveness of private placement financings within the U.S. capital markets. The Project has prepared two model forms of note purchase agreements and a financial covenant reference manual. The "Model Forms" have been widely adopted by industry participants. Mr. Stagliano acted as one of the primary draftsmen for the Project.
Mr. Stagliano received his B.A. in 1977 from the University of Pennsylvania and his J.D. in 1980 from New York University School of Law. |
